2. Site License

2.1 License Grant. Escala grants you a limited, non-exclusive, and non-transferable license to access and use the site in accordance with the terms and conditions set forth in this agreement. Escala reserves all rights, title, and interest not expressly granted under this license, to the fullest extent permitted by applicable law. You agree that you will not use the site in any manner that could damage, disable, overburden, or impair the site or interfere with any other person’s use and enjoyment of the site.

4. Copyright and Other Intellectual Property Rights

4.1 Between you and Escala, you acknowledge that Escala owns or has licensed all intellectual property rights and title to the content provided on this site. All intellectual property rights and title to the licensed content provided on this site belong to their respective owners and may be protected by applicable copyright and other intellectual property laws and treaties, and subject to restrictions on use under such laws or treaties.

11. Indemnification

You will indemnify and hold harmless Escala, its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims or demands arising out of (i) your breach of this agreement, including, but not limited to, any infringement by you of any third party's copyright or intellectual property rights; or (ii) your use or misuse of the site.

12. General

12.1 You are responsible for providing your own internet connection via dial-up modem, DSL, cable, or other internet access method, as well as any other hardware and software necessary to access and use the site.

12.2 Escala complies with all applicable laws, including, but not limited to, privacy laws and individual state laws regarding the sale or lease of real estate. You agree to comply with all laws applicable to you.

12.3 Escala or its business partners may display advertisements or promotional material through the site. Your transactions with third-party advertisers on or through the website, or your participation in their promotions, are solely between you and that third party, and your participation is subject to the terms and conditions associated with that advertisement or promotion. You agree that Escala is not responsible for any loss or damage of any kind that may occur as a result of such transactions or as a result of the presence of such third-party materials on the website.

12.5 This agreement shall be governed by the laws of the State of Florida. Exclusive jurisdiction for any claim, action, or dispute with Escala or in any way related to your use of the site shall lie with the state and federal courts located in the State of Florida, and the venue for the resolution of such claim, action, or dispute shall be Miami-Dade County, Florida.

12.6 Escala may send you notices regarding your use of the website by email to the email address registered with your account, by mail to the contact address registered with your account, or by a notice on the website when you log in to your account. You agree that we may send you notices by these means. Unless otherwise stated in the notices, these will take effect immediately.
